Governance Manager

Position Summary: 

Ohio Insurance Agents Association, Inc. (OIA) is seeking a Governance Manager (GM) to assist OIA volunteer and staff leadership in executing the strategic vision of the organization. The GM provides administrative leadership support to the volunteer leaders and staff for OIA’s non-profit and for-profit entities including board management, meeting planning for board meetings and retreats, creating and managing the process to attract and develop future volunteer leaders, and the annual awards ceremony.

Essential Duties and Responsibilities:

Volunteer Management

  • Plan and manage board meetings and retreats, Annual Business Meeting, and governance committee meetings. Event management includes site visits and selection, invitations, tracking attendance, database registration, agenda development, speaker confirmations and coordination, preparing meeting materials, minutes, and coordination of follow-up action items.
  • Work with the CEO to manage and coordinate the process of setting and tracking annual organizational goals.
  • Manage and coordinate the process of board prospect recruitment, vetting, orientation, training, and evaluation.
  • Proactively work with the CEO to plan visits with tier one agencies, board members and future leadership prospects.
  • Maintain database on current and prospective volunteers.
  • Solicit nominations for Ohio awards. Prepare nominations for the governance committee to select award winners. Order awards and manage annual awards ceremony held in conjunction with the Holiday Dinner.
  • Plan for meetings to meet state and bylaws regulatory requirements of OIA’s Foundation.
  • Plan and manage volunteer and staff leadership attendance at State and National meetings including invitations and coordination/making hotel, travel, and dinner arrangements, representation at meeting sessions, distribution of master travel itinerary and meeting materials.
  • Monitor and forward important information from IIABA and State Executives website to the CEO.
  • Research Governance Best Practices and bring recommendations to the CEO’s attention for consideration.
  • Propose and finalize Board and Governance meeting dates with input from volunteers and management team.
  • Send and track receipt of Code of Conduct Policy and Confidentiality Agreements from Board of Directors on an annual basis.
  • Purchase and distribute holiday gifts and cards to volunteers and business partners for relationship building.
  • Manage the purchase and distribution of event tickets for relationship building and marketing purposes.
  • Assist CEO as requested in scheduling meetings, scanning, printing, copying, faxing, phone calls, mail and travel arrangements.
  • Manage the CEO Evaluation Process with the Board Chair
  • Order branded items for the office, employees, for gifts and giveaways at events.

HR Responsibilities

  • Assist the Director of Finance and Office Manager with HR duties as requested.

Business Entity Responsibilities

  • Ensure entity filings are completed with the Secretary of State by due dates.
  • File new entity reports with the Secretary of State as needed.

Other Skills and Qualifications

  • Ability to effectively communicate information and respond to questions in person and by email with members, clients, public and other employees of the organization.
  • Ability to add, subtract, multiply, and divide in all units of measure, using whole numbers, common fractions, and decimals.
  • Ability to compute rate, ratio, and percent and to prepare and interpret bar graphs.
  • Ability to solve practical problems and deal with a variety of known variables in situations where only limited standardization exists.
  • Ability to interpret a wide variety of instructions furnished in written, oral, or diagram formats.

Education and Experience

Broad knowledge of association management including governance, accounting, marketing, business administration, finance, membership, etc. Equivalent to four years of college, plus two years related experience and/or training, and two years related management experience, or equivalent combination of education and experience. Experience in executive management and/or non-profit governance. Experience in planning and organizing meetings. Ability to recognize and protect confidential information and to work independently with little supervision.
